Some recent examples of our experience include:
ALE Property Trust Float
Advised Macquarie Bank on all aspects of the establishment of the ALE
Property Trust and the float of the portfolio of 105 hotels by Fosters Group
Limited. ALE Property Trust is an internally-managed, stapled security trust
where shares in the responsible entity are stapled to units in the trust. The
issue involved the acquisition of the portfolio of hotels, their lease to ALH,
the issue of stapled securities in the trust together with listed rated debt
notes and a CMBS programme.
Macquarie Pro Logis Trust
Acted for UBS and Macquarie Equity Capital Markets as underwriters of the
A$400 million float of the Macquarie Pro Logis Trust. The proceeds from the
float were invested in US and Mexican industrial properties. This was one of the
first issues under the new Product Disclosure Statement regime introduced by the
FSR reforms.
Aurora Place, Sydney
Acted in Australia's largest-ever commercial office transaction involving a
single purchaser, advising the joint venture owners of Aurora Place on the sale
of ownership structures of the building through the use of a complex
subscription and redemption structure.
Docklands, Melbourne
Advised Stadium Operations Ltd on the development and operation of the
Telstra Dome at Docklands and acted on behalf of GPT Management Limited
on the development of the new National Australia Bank headquarters at Docklands.
'Q' Tower
Advising the Sunland Group on the development of the significant 'Q' Tower project in
Surfers Paradise.
AMP Henderson Global
Advised AMP Henderson Global on the acquisition by Stockland of the AMP
Diversified Property Trust by way of an off-market and unconditional bid and the
acquisition of AMP Industrial Trust by Macquarie Goodman. We also advised AMP
Henderson Global on the trust restructure of the $1.1 billion AMP Office Trust.
Seven Broadcast Centres
Acted for the Seven Network in the sale by the network of its broadcast
centres in Adelaide, Sydney and Melbourne. Our role included drafting and
negotiating the property documentation as well as the trust documents, advising
Seven in relation to the structure of the transaction including tax advice.
St Marys Masterplan
Acting for Delfin Lend Lease in a A$2 billion urban
development in the western Sydney growth corridor that is expected to take 10 to
15 years to complete. This is a large scale development on a 1,545 hectare site,
and involves complex legal issues in areas such as property, construction,
environment and planning law.
Macquarie Goodman
Acted for Macquarie Goodman Funds Management on its acquisition of a
A$500million portfolio of industrial property held by CBA through the Colonial
First State Industrial Property Trust.
Australian Unity
Advised on the establishment of the Australian Unity Healthcare Property
Trust and the
subsequent acquisition and leaseback by the trust of major private hospitals in
Victoria, New South Wales and South Australia.
A-REIT Property Trust Float
Advised the Ascendas-Macquarie Goodman joint venture on the establishment and
float of the S$600 million Ascendas Real Estate Investment Trust (A-REIT). The
offer comprised a public offering and institutional placement in Singapore, an
international offer to cornerstone investors and a subscription by sponsors to
the offer.
Deutsche Bank / Deutsche Asset Management
Advised on the structure, implementation, fundraising and securitisation of a
complex A$366 million lease transaction for David Jones' flagship retail
properties in Sydney and Melbourne. This was the first rated commercial
mortgage-backed security (CMBS) transaction of its kind completed in Australia.
We also acted for Deutsche Asset Management in the purchase of Paladin Australia
and the double merger of Deutsche's listed commercial and industrial trusts with
two listed Paladin Trusts; and in Perth's first major CBD office development
for over 10 years, the Woodside Development, a transaction valued at A$225
million.
Corporate superannuation
Advising corporate superannuation schemes for employees of major
international and Australian companies such as Ford, Exxon Mobil, Rio Tinto,
General Motors, BHP Billiton, Australia Post, Shell, Unisuper and Sara Lee.
Rio Tinto
Acted on behalf of Rio Tinto and others to test the Federal Government's
superannuation contribution surcharge legislation. The government introduced
legislation retrospectively in response to this collective action.
