Allens has a leading real estate funds management practice in the Asia Pacific region. We are listed as a recommended firm Asia-wide for Investment Funds: Real Estate by leading legal directory Chambers Asia 2009.

We act for all of the usual participants in this sector: fund managers, sponsors/issuers, investors, custodians, trustees and other service providers, property vendors and financial intermediaries. We have been involved in a variety of asset classes.

We have worked or are currently working on the establishment of a number of Asian funds, pan Asian funds, South East Asian funds, Greater China specific funds, core funds, value add funds, opportunistic funds, and potential REITs.

Allco
Advised on Australian elements of its pan-Asia REIT that was listed on the SGX.

A-REIT Property Trust Float
Acted on funds management joint venture between Ascendas and Macquarie Goodman as a precursor to the S$600 million A-REIT float in Singapore. Allens provided a senior associate to act as the in-house counsel for Ascendas - MGM Funds Management Limited during the float.

Caisse de dépôt et placement du Québec
Advised in connection with its bid, as part of the Societe General Consortium, to acquire an interest in Guangdong Development Bank, one of the largest commercial lenders in Southern China.

Goodman Group
Acted on the establishment of a HK$4.8 billion private equity real estate fund in Hong Kong. The fund was originally intended to be a REIT and Allens did substantial corporate and property restructuring, considered and advised on licensing and REIT authorisation requirements (including management arrangements and connected party transactions, regulatory exemptions and governance protocols), drafted and negotiated all relevant agreements, prepared the information memorandum for investors and advised on the subsequent refinancing of the Fund.

Acted on the establishment and the dissolution of Macquarie Goodman Asia as a joint venture between Macquarie Bank Limited and Macquarie Goodman Group to operate a pan Asian real estate fund and asset management, acquisitions and development management business.

Acted for Goodman International Limited on its sale of its management rights in Ascendas - MGM Management Limited and its stake in A-REIT.

ING Real Estate Asia Value Fund
Acted for ING on all aspects of the establishment of their ING Real Estate Asia Value Fund, which was established to invest in a range of Asian jurisdictions.

The Link REIT
Acted for a cornerstone investor in the Hong Kong Housing Authority's Link REIT offering.

MGPA
Acquisition of an interest in Evolution Capital, a listed Thai property developer, and establishment of a US$300 million investment fund for the Thai hospitality sector.

Sansiri Public Company Limited
Acted in relation to the acquisition of a majority interest by US-based Starwood Capital Group. This was a significant transaction both because of its size and its complexity. The transaction involved several share issues – a number structured in novel ways to ensure financial return to the acquirer – and the purchased of FRA debt and debt for equity swaps. Subsequently, Allens advised on the restructuring of the share subscription and management rights of Sansiri and US-based Starwood Capital in anticipation of further US$20 million investment.
