Our role as an adviser to many of the world's largest energy and resources companies, banks and regional governments has given us considerable depth of experience in project development, mergers and acquisitions and financing in the oil and gas industry.

BHP Billiton
Advised in relation to the establishment of a joint alliance with PT Antam Tbk
to explore the joint development of an extensive nickel laterite resource on the
eastern Indonesian island of Halmahera and, potentially, ore bodies elsewhere.
Our role as their international project counsel has included negotiating and
drafting the documentation to create a corporate joint venture to develop and
construct the individual mining and processing facilities arising out of this
alliance.
Confidential client
Advised on the project financing of an oil and gas appraisal facility relating
to Vietnam oil and gas fields. Our role included drafting the documentation for
the US $110 million facility agreement, including share warrant terms, profit
share terms, selldown documents and multiple securities, as well as
co-ordinating the conditions precedent applicable to the first two drawdowns
under the facility agreement. Our Singapore office separately acted for the
trustee.
Gamuda (Malaysia)
Currently acting for Gamuda (Malaysia) on a Build-Transfer project for
a water sanitisation facility. Gamuda have agreed to construct and transfer this
facility to the government in exchange for a rent-free lease of land to develop
housing, office and other amenities.
Hunan Non-Ferrous Company Limited
Advised Hunan Non-Ferrous Company Limited, a Hong Kong-listed PRC company, on a
significant investment in the Australian resources sector shortly after a
successful IPO in Hong Kong.
Penfold Limited
Advised Penfold Limited (Penfold) and China Mining Partners
Limited on significant pre-IPO investment in a major PRC resources company
operating in central and western China. We also advised on critical share
conversion and listing issues prior to the listing on the Shanghai Stock
Exchange.
PT Medco E&P Indonesia
Advised PT Medco E&P Indonesia on the monetisation of natural gas produced from
the Senoro Field operated by Joint Operating Body Medco and Pertamina. This is
the first downstream LNG project in Indonesia following the 'unbundling'
principle between upstream and downstream oil and gas activities introduced by
the Indonesian Oil and Gas Law.
PT Medco Energi International Tbk
Advised PT Medco Energi International Tbk, Indonesia's largest independent oil
and gas company, in relation to its successful off-market takeover bid for all
of the issued ordinary shares in Novus Petroleum Limited (Novus).
In addition, we advised on the sale of the Novus group's Middle East assets to
Meridian Oil & Gas (Middle East) Limited.
Rio Tinto
Advising Rio Tinto on its participation in an aluminium smelter to be
constructed in Abu Dhabi, to be owned in a 50:50 joint venture with the Abu
Dhabi Basic Industries Corporation (ADBIC). This is a major
project which will form a significant step in the Abu Dhabi government's
diversification of its industrial base outside the traditional fields of oil &
gas and power, and a demonstration of the global reach of our firm's major
project practice.
Rio Tinto Alcan
Advising Rio Tinto on its participation in an aluminium smelter to be
constructed in Sarawak, Malaysia, to be owned by a joint venture consisting of
Rio Tinto (60 per cent) and Cahya Mata Sarawak Berhad (40 per cent). This deal
highlights Allens' continuing involvement in large Malaysian projects from our
Singapore regional office.
Santos
Advised Santos on its strategy for entering the upstream petroleum industry in
Vietnam, including the negotiation of production sharing contracts with
PetroVietnam covering two offshore blocks, joint operating agreements and
acquisition of an interest in a production sharing contract from Premier Oil.
Tianshan Goldfields
Acted for Tianshan Goldfields (Tianshan) in relation to
exploration and development of the Gold Mountain Project in North West China and
preparations for listing on London's Alternative Investment Market (AIM).
Tianshan is an Australian Stock Exchange (ASX) listed company
controlled by Perth-based resource investment house, Mineral Securities Ltd.
This is one of the largest foreign invested gold projects in China.
