Advised Australia and New Zealand Banking Group Limited as mandated lead arranger, bookrunner and agent for a syndicate of nine banks on a landmark $600 million cross-border transaction involving Australian, English and Indonesian law.
International Finance Corporation, Cambodia
Acted for IFC in connection with its US$100 million loan to CamGSM (then a joint
venture between Millicom and Cambodia’s Royal Group and Cambodia’s dominant
mobile phone operator) to finance the development of telecommunications
infrastructure in Cambodia.
ANZ, Vietnam
Acting for a syndicate of banks, led by ANZ, in their US$90 million export
insurance backed project financing of GS Saigon, a wholly owned subsidiary of
the Korean corporate GS Engineering & Construction Corp.
Cheung Kong Infrastructure Finance Australia Pty Ltd, Australia and Hong Kong
Acted for a syndicate of banks on their A$510 million loan to Cheung Kong
Infrastructure Australia. Cheung Kong Infrastructure Australia is the largest
publicly listed company in Hong Kong.
International Finance Corporation, Indonesia
In a multi-jurisdictional transaction, Allens advised IFC on its financing of
the US$160 million Jakarta International Container Terminal.
ANZ, PRC
Acting for PRC ANZ on the establishment of its locally incorporated bank in the
PRC, including the provision of foreign law advice in connection with the
transfer of existing branch activities and customers to the locally incorporated
bank.
CLSA Limited, Vietnam
Advised CLSA Limited on the Vietnamese collateral and security arrangements
under its US$2 billion Asian Securities Program which involved the offering of
swap instruments and Vietnamese equity linked certificates.
TPG (MaSan Foods), Vietnam
Acted for Texas Pacific Group as a cornerstone investor in connection with the
issue by MaSan Foods of US$30 million convertible bonds – this was a landmark
transaction as this was the first-ever issue of bonds convertible into the
shares of a Vietnam-listed company.
GPT, Singapore
Acted for GPT Group (ASX-listed) in connection with its issue of an A$250
million bespoke perpetual exchangeable bond to the property investment arm of
the Government Investment Corporation of Singapore.
Natixis, PRC and Hong Kong
Acted for the lenders in the US$145 million syndicated loan to Right Lane
Limited, the wholly owned subsidiary of PRC entity Legend Group Holdings
Limited. The lenders include Natixis, Bank of East Asia, Wing Lung Bank, China
Merchants Bank and Bank of China (Macau Branch). The Legend Group guaranteed the
loan, used to repay Right Lane’s medium-term US private placement debt and
existing facilities.
