Allens acts for Shell in extensive deal with Arrow Energy
26 February 2009
Allens Arthur Robinson (Allens) has acted for Shell in acquisitions from, and a joint venture deal with, Arrow Energy Ltd (Arrow), the global coal seam gas company.
The deal sees Shell acquire 30 per cent of Arrow's Australian upstream tenements and 10 per cent of Arrow's international operations for up to a total of around US$700 million.
The deal also establishes a joint venture arrangement between Shell and Arrow for the exploration and development of coal seam gas assets in Australia and overseas.
Brisbane-based Partners Chelsey Evans and Andrew Knox led a team from Australia and Asia on the deal, advising Shell on all aspects of the transaction.
Allens provided due diligence of the domestic assets, assistance with the negotiating and drafting of all the transaction documents, alongside Cambodia and Singapore-based legal teams which provided advice on international law and issues.
According to Ms Evans: 'Allens was very pleased to advise long-standing client Shell in connection with its first investment in the Australian coal seam gas sector – working with their team based in Australia, The Netherlands, Singapore and the USA.
'Over the last 12 months there has been an unprecedented level of investment and M&A activity in this sector and there is no sign of that activity stopping anytime soon.'
