Allens acts for CEMEX in $2.02 billion sale agreement of Australian operations

18 June 2009

Allens Arthur Robinson (Allens) is acting for CEMEX S.A.B. de C.V. (CEMEX), a global building materials company, on its sale of its Australian operations to Holcim Group (Holcim), the world's second largest cement maker.

The deal, valued at approximately A$2.02 billion, was announced on 15 June 2009 and will help CEMEX's overall strategy of strengthening its financial flexibility.

The transaction is subject to a range of conditions – including confirmatory due diligence, regulatory approvals and funds from buyer financing being disbursed.

The Allens team was led from the Sydney office, with Partners Kylie Brown and Ewen Crouch heading up the team, with Partner Jacqueline Downes advising on Australian Competition & Consumer Commission issues.

According to Ms Brown: 'Allens is delighted to advise CEMEX on this important transaction.

'With parties all over the world, the team worked hard alongside everyone on the deal to finalise the sale agreement in a very short timeframe.

'We look forward to working with CEMEX on the next phase of the transaction as they work through the conditions to ensure a successful and timely sale.'
