Allens acts for Henderson Group in capital raising of $106 million to part finance acquisition

Allens Arthur Robinson (Allens) has acted for Henderson Group plc (Henderson), the international financial services group, on a capital raising valued at approximately A$106 million.
The deal involved the placement of shares/CHESS Depositary Interests, representing approximately 9.9 per cent of Henderson's existing issued ordinary shares, to institutional and other investors.
The capital raised from the transaction will part finance Henderson's proposed acquisition of New Star Asset Management Group PLC, a UK-based fund management business.
Acting as Australian counsel for Henderson, Allens' Sydney-based partners Alex Ding and Victoria Poole led the team.
Allens was able to provide legal and deal implementation advice - including transaction documentation and obtaining necessary regulatory clearance - from an Australian legal perspective.
'Given Henderson are incorporated in Jersey, listed on the ASX and the London Stock Exchange and tax-domiciled in Ireland, we needed to carefully co-ordinate the transaction to ensure compliance with the laws and regulations of different countries,' said Mr Ding.
'Our team offered valuable local regulatory and deal knowledge to Henderson, as well as specific experience in institutional placement of securities for a company listed on more than one exchange - and were aware of the complexities that can arise.
