Allens acts for Pfizer on divestment of animal health assets to Virbac

Allens Arthur Robinson (Allens) has advised Pfizer Inc. (Pfizer), the world's largest research-based pharmaceutical company, on the successful divestment of its animal health assets to Virbac.
The assets acquired by Virbac consist of the Fort Dodge Australia livestock business, including a range of livestock vaccines and the Cydectin range of sheep and cattle parasiticides, along with a biologicals manufacturing facility.
Pfizer divested the assets in compliance with requirements imposed by the ACCC in connection with its US$68 billion acquisition of Wyeth, including the Fort Dodge business, in October 2009. This transaction represents the final divestiture of assets required by the ACCC. The other divestment required by the ACCC was the sale to Boehringer Ingelheim of the Fort Dodge companion animal vaccines business, consisting of a portfolio of cat and dog vaccines, in October 2009.
Allens acted as Pfizer's transaction counsel for both divestments as well as Australian advisers on its acquisition of Wyeth. These transactions brought together experts from the firm's M&A, Pharma, Intellectual Property, Employment, Tax, Property and Environment departments in a team led by Allens Corporate Partner Jeremy Low and IP Partner Andrew Wiseman.
